Terms of Service

1. Agreement and eligibility

These Terms of Service (“Terms”) are an agreement between you and LEAD TRADE ZONE LLC (“ClipTap,” “we,” “us,” or “our”). By accessing or using cliptap.us and related services (the “Service”), you agree to these Terms and our Privacy Policy. If you use the Service for a business or organization, you represent that you are authorized to bind it. You must be at least 18 years old or the age of legal majority where you live, or use the Service with a parent or legal guardian’s permission and supervision.

2. The Service

ClipTap provides customizable digital profiles, QR-accessible pages, contact-exchange tools, AI-assisted profile creation, analytics, billing features, and, when separately announced, connectivity to NFC cards or tags. Hardware is not included unless a specific checkout page or written order expressly identifies it. Features may change as the Service develops.

3. Accounts and security

You must provide accurate information and keep your email account secure. You are responsible for activity conducted through your account and for promptly reporting unauthorized access. Secure sign-in links are confidential. We may suspend access when reasonably necessary to protect an account or the Service.

4. Profiles, links, and user content

You retain ownership of content you submit. You grant ClipTap a worldwide, non-exclusive, royalty-free license to host, copy, process, technically format, display, and transmit that content as needed to operate, secure, and improve the Service. You represent that you have the necessary rights for everything you upload or publish, including photos, logos, names, trademarks, text, and links. You are responsible for reviewing AI-generated content before publishing it.

5. Acceptable use

You may not violate law or another person’s rights; impersonate others; distribute malware, phishing, spam, deceptive payment requests, or fraudulent offers; publish unlawful or exploitative content; collect contacts without proper permission; interfere with security; or automate account creation without written permission. We may remove content, disable links, suspend profiles, preserve evidence, or terminate accounts when we reasonably believe law, safety, or these Terms are implicated.

6. AI-powered features

AI output may be inaccurate, incomplete, similar to content generated for others, or unsuitable for your purpose. It is an editing aid, not legal, financial, medical, safety, or professional advice. You are responsible for reviewing and approving output before use. Generation allowances are consumed only by successful generations; failed generations should be restored. We may apply reasonable limits to prevent abuse and control costs.

7. Free and Pro plans

Free features may be limited or changed. Pro provides the features shown at checkout for the selected billing period. Unless checkout states otherwise, Pro includes up to 10 successful AI profile generations per subscription period; unused generations do not roll over. Additional generation packs may be sold separately.

8. Billing, renewal, and cancellation

Stripe processes payments. Prices, billing frequency, taxes, renewal terms, and included features are disclosed before purchase. Monthly and annual Pro subscriptions automatically renew at the then-disclosed price until canceled. By subscribing, you authorize recurring charges.

You may cancel online through the ClipTap billing portal. Cancellation stops future renewals and normally takes effect at the end of the current paid period. Deleting a profile alone does not cancel a subscription. If payment fails, Stripe may retry and we may limit paid features until payment is resolved.

9. Promotion codes and free access

Promotion codes may be limited by customer, product, redemption count, first purchase, or expiration. Codes have no cash value, may not be sold, and may be disabled for abuse, error, or fraud. A 100%-off tester promotion grants only the duration and features stated at checkout. Unless checkout clearly discloses automatic paid conversion and obtains authorization, tester access ends or returns to the free plan when the promotion ends.

10. Refunds

Except where required by law or stated at checkout, subscription charges and consumed AI-generation purchases are non-refundable. Contact us promptly about duplicate charges or technical failure. Approved refunds return to the original payment method. Canceling prevents future renewal charges but does not retroactively refund the current period.

11. NFC and physical products

Physical NFC products are not offered unless expressly listed as available at checkout. When hardware becomes available, product-specific pricing, shipping, replacement, return, and warranty terms shown at checkout will apply. A digital profile is separate from a physical tag; losing or disabling a tag does not delete the account or profile.

12. Third-party services

The Service may interact with Stripe, Cloudflare, Anthropic, email providers, and user-selected links. Third-party services have their own terms and policies. ClipTap does not control user-linked destinations and is not responsible for third-party content, transactions, availability, or practices.

13. Intellectual property

ClipTap, its software, interface, branding, templates, and documentation are owned by LEAD TRADE ZONE LLC or its licensors. Except for the limited right to use the Service, no rights are transferred. Feedback may be used without restriction or compensation, provided we do not publicly identify you without permission.

14. Changes and termination

We may modify, suspend, or discontinue features, impose reasonable limits, or terminate the Service. When reasonably practical, we will notify paid users of material changes. You may stop using the Service at any time.

15. Disclaimers

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.” WE DISCLAIM IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT UNINTERRUPTED OPERATION, PARTICULAR BUSINESS RESULTS, ACCURACY OF AI OUTPUT, OR COMPATIBILITY WITH EVERY DEVICE OR SERVICE.

16. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, LEAD TRADE ZONE LLC AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AND PROVIDERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, LOST PROFITS, LOST DATA, LOST BUSINESS, OR REPUTATIONAL HARM. OUR TOTAL LIABILITY WILL NOT EXCEED THE GREATER OF $100 OR THE AMOUNT YOU PAID TO CLIPTAP DURING THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM. Limitations do not apply where prohibited by law.

17. Indemnification

To the extent permitted by law, you will defend, indemnify, and hold harmless LEAD TRADE ZONE LLC from third-party claims and reasonable costs arising from your content, misuse of the Service, violation of these Terms, or violation of another person’s rights.

18. Governing law and disputes

These Terms are governed by Illinois law. Before filing a formal claim, each party agrees to make a good-faith 30-day effort to resolve it through written notice. Unless applicable law requires otherwise, disputes will be brought in state or federal courts serving Cook County, Illinois. Either party may seek emergency injunctive relief or use an eligible small-claims court.

19. General terms

These Terms and incorporated policies are the entire agreement concerning the Service. If one provision is unenforceable, the rest continue. Failure to enforce is not a waiver. You may not assign these Terms without consent; we may assign them in a reorganization, financing, merger, acquisition, or asset transfer.

20. Changes to these Terms

We may update these Terms. We will post a revised version with a new effective date and provide additional notice when required. Material changes apply prospectively.
